1. Purpose and Scope

This Legal & Export Policy describes the legal, jurisdictional, and export-control position of Pacific Crest Dental Alliance ("PCDA," "we," "us," "our") with respect to www.pcdentalalliance.com (the "Site") and the services offered through it (the "Services"). It supplements, and is incorporated into, our [Terms of Service].

2. No Export of Goods

PCDA does not manufacture, sell, ship, distribute, or export any physical goods, hardware, equipment, dental products, devices, or tangible commodities of any kind. No item is shipped domestically or internationally. Accordingly: No export licenses, permits, or classifications (including ECCN, HTS, or Schedule B classifications) apply to any PCDA offering. No customs declarations, duties, tariffs, or import fees apply. No U.S. Customs and Border Protection or Bureau of Industry and Security filing obligations arise from any PCDA transaction.

3. No Controlled Technology or Technical Data

PCDA does not develop, license, or transfer encryption software, defense articles, dual-use technology, controlled technical data, or any other item subject to the Export Administration Regulations (EAR) or the International Traffic in Arms Regulations (ITAR). The Site consists of publicly available marketing information, general business content, and an electronic payment function. Our Services consist of advisory coordination, informational materials, benchmarking summaries, and networking — none of which constitutes controlled technology, controlled technical data, or a "deemed export."

4. United States Only

The Site and Services are intended solely for licensed dental professionals and dental practice owners located in, and operating dental practices in, the United States. We make no representation that the Site or the Services are appropriate, available, or lawful for use in any other jurisdiction. If you access the Site from outside the United States, you do so on your own initiative and are solely responsible for compliance with all applicable local laws. We reserve the right to limit, refuse, or terminate access to the Site or Services in any jurisdiction, and to refuse or cancel any order, in our sole discretion. PCDA does not accept applications from, or provide Services to, persons or entities outside the United States.

5. Sanctions and Restricted Parties Compliance

Notwithstanding the absence of any physical export, PCDA complies with all applicable U.S. economic sanctions and trade restrictions, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). By using the Site, purchasing any product, or applying for membership, you represent and warrant that you: are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. sanctions (currently including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); are not identified on OFAC's Specially Designated Nationals and Blocked Persons (SDN) List, the Consolidated Sanctions List, the U.S. Department of Commerce Denied Persons List, Entity List, or Unverified List, or any other U.S. government restricted-party list; are not owned or controlled by, or acting on behalf of, any such person or entity; and will not use the Site, the Services, or any funds transmitted through the Site in violation of any applicable sanctions, anti-money-laundering, anti-terrorism-financing, anti-bribery, or anti-corruption law. We reserve the right to screen users and payments against restricted-party lists, and to refuse, suspend, cancel, block, or reverse any transaction, and to terminate any account or application, where we determine in our sole discretion that a sanctions or compliance concern exists.

6. Payments and Currency

All transactions on the Site are conducted in U.S. dollars and processed by third-party payment processors. We do not accept cash, cryptocurrency, or wire transfers through the Site. Payments must originate from a payment instrument issued by a financial institution in the United States or otherwise permitted by our payment processor's terms. Your bank or card issuer may apply foreign transaction or currency conversion fees, for which PCDA is not responsible.

7. Anti-Money Laundering; Source of Funds

You represent that all funds used to pay any PCDA fee are derived from lawful sources and are not the proceeds of criminal activity. We may request documentation to verify identity, entity status, licensure, or source of funds, and may decline or unwind any transaction pending satisfactory verification.

8. Regulatory Position of the Services

For clarity, and consistent with our Terms of Service:

No securities offering. Nothing on the Site or in this policy constitutes an offer to sell or a solicitation of an offer to buy any security or investment. Any such offer, if made, would be made only through a separate definitive written agreement in compliance with applicable federal and state securities laws.

No professional advice. PCDA does not provide legal, tax, accounting, investment, brokerage, appraisal, or dental-practice-management advice through the Site.

No dental services. PCDA does not provide, direct, or control the delivery of dental care. Each participating practice remains independently owned, licensed, and operated, and remains solely responsible for its own clinical, regulatory, and legal compliance.

9. Governing Law
